1. Quotations and Orders
All quotations are valid for 30 days from the date of issue unless otherwise stated. Purchase orders are subject to written acceptance by Supco Canada. Supco Canada reserves the right to decline any order at its discretion. Confirmed orders may be cancelled only with Supco Canada's written consent and may be subject to cancellation charges.
2. Pricing and Payment
Prices are quoted in Canadian Dollars (CAD) or US Dollars (USD) as indicated. Unless otherwise agreed in writing, payment terms are net 30 days from invoice date for established customers, or pro-forma (advance payment) for new customers. Supco Canada reserves the right to charge interest on overdue accounts at 1.5% per month (18% per annum).
3. Delivery and Risk
Unless otherwise agreed, goods are supplied EXW (Ex Works) Maple, Ontario, Canada (Incoterms 2020). Risk of loss or damage passes to the buyer upon delivery to the first carrier. Export documentation, freight insurance, and customs clearance are the buyer's responsibility unless separately agreed.
4. Quality and Warranty
All products are manufactured or remanufactured under Supco Canada's ISO 9001:2015 certified Quality Management System. Supco Canada warrants its products to be free from defects in materials and workmanship for a period of 12 months from date of delivery, subject to:
- Correct installation and operation within OEM-specified parameters
- No unauthorized modifications
- Written notice of the defect within 14 days of discovery
The warranty is limited to repair or replacement of the defective item at Supco Canada's discretion. OEM part numbers are referenced for identification purposes only — Supco Canada does not warrant fitness for a specific OEM application beyond the identified compatibility.
5. Limitation of Liability
Supco Canada's liability is limited in all cases to the invoice value of the goods giving rise to the claim. Supco Canada shall not be liable for indirect, consequential, or special damages including loss of revenue, loss of profits, or cost of locomotive downtime, regardless of the theory of liability.
6. Intellectual Property
EMD®, GE®, and other OEM trademarks referenced in Supco Canada's catalog are the property of their respective owners. These references are for product identification purposes only. Supco Canada is an independent aftermarket manufacturer with no affiliation to EMD® or GE®.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of Ontario for any dispute arising hereunder.
